Terms of Service

These terms govern our business cooperation. Please read carefully before placing your order or engaging in any partnership with Blyss.

Cooperation Scope

Section 1

These Terms of Service apply to all business cooperation between Blyss (operated by Agree Manufacturing) and our partners, including but not limited to:

  • Distributors & Wholesalers -- Bulk purchasing and regional distribution agreements.
  • Online Sellers -- E-commerce resellers on Amazon, Shopify, TikTok Shop, and similar platforms.
  • OEM/ODM Clients -- Custom branding and private-label manufacturing partnerships.
  • NGOs & Institutions -- Bulk supply for charitable or institutional feminine care programs.

By placing an order or signing a cooperation agreement, you acknowledge and accept these terms in full.

Order Rules

Section 2

Minimum Order Quantity (MOQ)

  • Blyss-branded products: Low MOQ starting from 500 packs per SKU.
  • OEM/ODM orders: MOQ varies by product type and customization level, typically starting from 10,000 pieces.
  • Sample orders: Available for evaluation purposes with separate pricing.

Payment Terms

  • Standard orders: 30% deposit upon order confirmation, 70% balance before shipment.
  • First-time orders: 50% deposit may be required for new partners.
  • Accepted methods: T/T (bank transfer), L/C for large orders, Western Union for small orders.
  • Currency: USD is the default settlement currency unless otherwise agreed.

Delivery & Lead Time

  • Blyss stock products: 7-15 business days after payment confirmation.
  • OEM/ODM orders: 25-45 business days depending on complexity and quantity.
  • Shipping terms: FOB, CIF, or DDP as agreed in the proforma invoice.
  • Force majeure: Delays caused by unforeseen events will be communicated promptly; neither party shall be held liable.

Customization Terms

Sample & Proofing Fees

  • • Pre-production samples require a sampling fee ranging from $50-$300 depending on complexity.
  • • Sample fees are refundable upon placement of a bulk order meeting the agreed MOQ.
  • • Design proofing (packaging artwork, printing plates) is charged separately and confirmed before production.
  • • Revisions beyond 2 rounds may incur additional design fees.

Mold & Tooling Ownership

  • Standard molds: Owned by the factory; available for shared use across clients.
  • Custom molds: If the client pays for custom tooling in full, ownership transfers to the client upon final payment.
  • Storage: Custom molds are stored at our facility free of charge for up to 2 years of inactivity.
  • Exclusivity: Molds paid by the client will not be used for other customers without written consent.

Intellectual Property: All custom designs, logos, and branding elements submitted by the client remain the client's property. Blyss will not reproduce or share them without authorization.

Quality & After-Sales

Section 4

Quality Inspection

  • • All products undergo in-house quality control before shipment (AQL 2.5 standard).
  • • Third-party inspection (SGS, Bureau Veritas, etc.) is available at the client's request and expense.
  • • Pre-shipment photos and videos are provided for every order upon request.
  • • Clients may send representatives for on-site factory inspection with prior arrangement.

Quality Guarantee & Claims

  • Shelf life: All products carry a minimum 3-year shelf life from date of manufacture.
  • Defect claims: Must be reported within 14 days of receiving goods, with photographic evidence.
  • Resolution options: Replacement, credit, or partial refund depending on defect severity and scope.
  • Exclusions: Claims due to improper storage, unauthorized modification, or end-user misuse are not covered.

Liability & Dispute Resolution

Section 5

Breach of Contract

  • Buyer default: Failure to pay the balance within 15 days of the agreed date may result in order cancellation. Deposits are non-refundable in such cases.
  • Seller default: If Blyss fails to deliver within the agreed timeframe (excluding force majeure), a penalty of 0.5% of order value per week of delay applies, capped at 5%.
  • Quality breach: If delivered goods fail to meet the confirmed specifications, Blyss will bear the cost of replacement or agreed compensation.

Dispute Resolution Process

Friendly Negotiation

Both parties shall first attempt to resolve disputes through direct communication within 30 days.

Mediation

If negotiation fails, either party may request mediation through a mutually agreed third party.

Arbitration

Unresolved disputes shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for binding arbitration.

Governing Law: These terms are governed by the laws of the People's Republic of China. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall also apply where applicable.
